Default How's this power supply?

I have an Enermax 350 dual fan powersupply. The nice one. Is this sufficient for the following equipment?

M/B: Epox 8K7A
CPU: 1133 t-bird (prolly will o/c as much as I can w/o peltier)
Memory: 512 mb non-ecc pc2100 from crucial
H/D: (1) ATA100 7200 drive
Drives:A dvd and a cd-rw(plextor)
Fans: ALL CONTROLLED BY THE RHEO-BUS, (2) Panaflow m1a 120mm, (2) Panaflow 80mm L1a, (1) 92mm clear fan (like the one in the power supply.

Watercooled.

Just watch the 5V Rail with those Enermax's, they can get low when overclocking...
